Corporate Finance

In the area of corporate finance we collaborate with private equity and corporate clients to evaluate key value drivers and risk factors associated with potential targets, enabling them to:

  • Gain an understanding of significant
  • patterns in the target business’ historical performance
  • Evaluate the quality and sustainability of the target business’ reported earnings and free cash flow
  • Analyze the quality of net assets being acquired

Transaction Services

BWPA’s transaction services enable partners to maximize value throughout the transaction process. We apply the same framework to buyers and sellers allowing them to identify and address potential areas of concern prior to the due diligence process. We evaluate quality of revenues, earnings and net assets, working capital requirements and financial projections to help position our clients for the due diligence process and minimize surprises at the negotiating table. In addition, we draw on our expertise in M&A advisory to accompany clients through the deal structuring, negotiation and closing process.

Capital Markets

BWPA provides capital-raising activities for a wide variety of institutional to privately clients, entrepreneurially run, mid-sized companies, always with the goal of creating an optimal capital structure for every client we serve. In a capital markets environment that is rapidly changing and increasingly complex, it is critical to have a trusted advisor with the experience and proven ability to engineer a financing solution.

We have extensive experience in loans structures, mezzanine financing, high-yield debt, IPOs, convertibles and liability management transactions. BWPA maintains a wide breadth of investor relationships including senior lenders, traditional asset managers, hedge funds, private mezzanine funds and private equity investors.

Restructuring & Distressed Assets

In a quickly changing and evolving capital market environment operating performance and cash flows can easily decline. In many cases this will lead to significant liquidity constraints with limited access to new capital.   • 1999/2000: Multi-tier structured financing transaction with a total volume of € 80 million for off-balance film production and distribution financing with equity investment and government backed funding programs; jointly developed with leading global investment bank.
  • 2001: Development of follow-up multi-tier equity film financing transaction with an equity investment to produce a slate of high-end CGI films and create a leading European CGI production facility.
  • 2002: Acquisition and restructuring of distressed Asian/ European international television sales & distribution company out of bankruptcy; subsequent and successful MBO exit. The entire transaction value totaled € 7 million.
  • 2002: Sale of equity interest in fund manager operating in entertainment financing jointly owned with major global investment bank equal to a total transaction value of € 10 million.
  • 2003: Development and structuring of unique hybrid ABS structure combing a $ USD 400 Million longevity portfolio with a tax-based film financing investment fund.
  • 2004 – 2008: Successful structuring and placement of a series of longevity equity investment funds with an aggregate volume of US$ 170 Million.
  • 2005: Structuring and successful placement of 2 zero bonds with a total face value of € 12 Million for purpose of financing insurance related loans.
  • 2005/2006: Structuring of sophisticated life insurance related premium finance loan programs with a total volume of US$ 15 million.
  • 2004- 2006: Off-balance sheet production and distribution financing of major documentary film slate with leading UK broadcaster and global joint venture partners equal to a total production volume of US$ 80 Million generating an aggregate in excess of US$ 500 million box office and video sales globally. 
  • 2006: Multiple rounds of private-equity financing (seed to exit) in cutting-edge navigation software development company resulting in a successful trade sale to a world-leading mobile phone manufactureer with a total transaction volume of € 150 Million.
  • 2007- 2010: Successful structuring and placement of various equity investment funds with a total volume of € 70 million to develop and purchase US infrastructure project portfolios, particularly focused on the telecommunication industry.
  • 2008: Advisory to structuring and successful closing of US$ 500 Million debt facility with major US bank to finance longevity and insurance product portfolios designed to exit on the ABS market.
  • 2009: Successful capital placement and early stage equity investment in e-reader development company with cutting-edge software with a leading US industrial players as long-term private equity investor and major shareholder.
  • 2009: Development of estate planning and inheritance tax optimization program based on leveraged alternative asset investments for purpose of succession and wealth transfer for bespoke family office investors.
  • 2009/2010: Development of Luxembourg based SICAV debt/equity investment funds for the purpose of investing in alternative assets pools and eligible under German investment act and institutional investment regulations. 
  • 2010: Successful cross-border refinancing of initial tranche of major debt facility for asset based transaction.
  • 2010/2011: Advisory to distressed insurance asset portfolio in the course of Chapter 11 proceedings and DIP financing plan.
  • 2011/2102: Cross-border restructuring of distressed international investment group.
  • 2012: Successful refinancing of a $65 Million debt facility for a portfolio of lifen insurance policies in collaboration with an US and German banking group.
  • 2011-2013: Restructuring and Going Public of a US subsidiary of a German investment group with a capitalization volume of debt, mezzanine and equity capital in excess of US$250 million.



Stefan Beiten: Partner,

Stefan Beiten
Stefan Beiten has been an attorney-at-law and active entrepreneur in the field of capital markets, the media sector, telecommunications infrastructure and other industries since 1994. He has been involved in numerous structured financing and capital market transactions with an investment focus in the United States, England and Germany. Mr. Beiten began his international career in Los Angeles in 1993, where he worked for the law firm Chrystie & Berle. He subsequently worked for the law firm Beiten Burkhardt (Berlin) and for ABN Amro Bank (London). Mr. Beiten studied law and history at Ludwig-Maximilians University in Munich and at UCLA Los Angeles with a master of law degree from Freie University Berlin. In recent years Mr. Beiten has particularly been active restructuring and reorganisation of portfolio management companies and asset managers.   

Nikolaus Weil: Partner,
Attorney at Law and Advisor

Nikolaus Weil was educated in the United States, Asia, Africa and Europe, and holds a law degree from Ludwig-Maximilian University in Munich. After attending university in Freiburg, New York and Munich, he has been previously worked both as an entrepreneur and executive as well as for international law and advisory firms on various aspects of media & entertainment financing, telecommunications as well as on various structured capital markets transactions particularly with a focus on investments in alternative assets. As a managing partner of an asset manager he was responsible for developing special purpose financing vehicles for both bespoke family offices as well as institutional clients. His expertise and experience extend from the development of sophisticated multi-tier equity financing transactions, equity capital instruments and debt capital instruments, to large portfolio investments.
